Due diligence refers to the process of investigating a business opportunity that the investor must accept in order to assess the risks of the transaction. Although such an investigation may be made under legal obligation, the term usually refers to voluntary investigations.

Depending on their activities or the activities of those they relate to, Organizations should always exercise Due Diligence to identify, prevent and address possible human rights impacts. Due diligence should also consider the possible influence on the conduct of others where the Organization may be involved.
